ELIGIBILITY:

This Contest is open only to U.S. citizens that are legal residents of Texas and 18 years of age or older at the time of entry. Contestants must have a current Texas address. This Contest is not open to employees of the Samaritan Group, its affiliates, or their immediate family members (parents and children). RecognizeGood reserves the right to verify eligibility qualifications of any winner.

COMPLIANCE WITH LAWS

This Contest is void where prohibited by law, or where the registration requirements of any state of local jurisdiction have not been complied with. This Contest is subject to and governed by all federal, state and local laws and regulations of the United States.

CONTEST SUBMISSION DEADLINES

The deadline for submissions is Wednesday, September 30, 2009 11:59PM CST. RecognizeGood is not responsible for any lost, stolen or undelivered entries, or any entries not received within the applicable Contest periods mentioned above. RecognizeGood reserves the right a) to suspend or cancel the Contest in its sole discretion if a computer virus or other technical problem corrupts the administration or security of the Contest and b) to select winners from among all eligible entries received prior to the cancellation date.

Contestants must send entries as required in these terms and conditions in order to be eligible. Entries received after the deadline set forth in the terms and conditions are ineligible, null, and void. RecognizeGood will not be responsible for and will not consider incomplete or incorrect entries. RecognizeGood is not responsible for entries that are sent but not received by RecognizeGood for any reason.

COMPLIANCE WITH CONTEST RULES

All Contestants agree to abide by the Contest rules, which are subject to change at the sole discretion of RecognizeGood. By entering the Contest, Contestants have agreed to be bound by these Contest rules and terms and conditions as well as by any rules specific to such Contest. This is an irrevocable condition of entry. In the event of non-compliance by the winner with the official rules of this Contest, an alternative winner may be awarded the respective prize. Return of any prize or prize notification as undeliverable will result in a disqualification and an alternate winner may be selected. RecognizeGood reserves the right in its sole and absolute discretion to alter any Contest rules at any time or to terminate the Contest at any time without prior notice.

RIGHT TO BROADCAST CONTEST SUBMISSIONS

By submitting an entry to the Contest, Contestant agrees to grant RecognizeGood the nonexclusive right to make available Contestant's name and submission on RecognizeGood Web sites in perpetuity and without compensation. Contestant grants to RecognizeGood the non-exclusive, worldwide, royalty-free right to digitize entry photo/video/story ["Material"] and to reproduce, publicly perform, publicly display, and/or distribute the Material in any media format or on the Internet via RecognizeGood's main web site and co-branded sub-sites. Additionally, Contestant agrees that it grants RecognizeGood the nonexclusive right to make available Contestant's prizes on RecognizeGood's Web sites and partner sites in perpetuity. Except where legally prohibited, submission of an entry into this Contest constitutes permission for RecognizeGood to use the Contestant's name, photograph, likeness, voice, address (city and state) and testimonials in printed or media form for 7 years, in any manner RecognizeGood deems appropriate in connection with promoting the submission(s) of this Contest, without further compensation in connection with this Contest and the prize awarded. The granting of these rights by Contestant to RecognizeGood ensures that RecognizeGood may offer Contestant's submission for free download to visitors of RecognizeGood's web site.

CONTEST RULES

  1. All Contestants must register with RecognizeGood.org in order for his or her name to be entered into the contest.
  2. Contestants are deemed to be the holder of the established email account associated with the entry.
  3. Entries accompanied by video and photo will be entered into respective Photo or Video Contest, and will remain eligible for the Grand Prize random drawing as well.
  4. Contestants submitting entries containing images of minors (under the age of 14) must be the parent or legal guardian of the minor(s) appearing in the submitted entry.
  5. Contestants submitting video must first post video through YouTube.com. To add video to a recognition, Contestant must copy the YouTube embed link into the RecognizeGood recognition form.
  6. By submitting an entry, Contestant warrants that the Contestant owns the Material and that it is original, non-professional, neither previously published nor having won any other award whatsoever. Contestant represents and warrants that the Material does not infringe any copyright, trademark, property rights, rights of privacy or publicity of any person, or any other right of any third party and that Contestant has the full and unrestricted right to transfer the Material to RecognizeGood free and clear of any claims or encumbrances.
  7. RecognizeGood reserves the right at its sole discretion to reject and disqualify any entry deemed to be obscene, profane, offensive, lewd, pornographic or otherwise inappropriate.
  8. RecognizeGood assumes no responsibility for entries unable to be processed for any technical reason and further reserves the right to cancel the Contest if it becomes technically corrupted or because of unauthorized human intervention. RecognizeGood reserves the right in the event of such cancellation to award the prize to an eligible, non-suspect entry received prior to cancellation.
  9. Contestant agrees that material entered in Contest constitutes permission for RecognizeGood to use the entry. Such use will be without compensation and may be for editorial, public relations, promotional or advertising purposes, or any other purpose as deemed reasonable by RecognizeGood.
  10. Contestant agrees that all material entered in Contest is truthful and honest in nature and entry is not fabricated. Entries that are irrelevant and/or deemed untruthful after careful inspection will be disqualified and Contestant will be banned from further participation in the Contest.
  11. Contestant acknowledges and agrees that RecognizeGood shall have no obligation to post, display, or otherwise make publicly available any Materials submitted.
  12. Contestant acknowledges and agrees that Materials submitted may be made available by RecognizeGood for viewing, rating, reviewing, and commenting by the public. Contestant acknowledges that comments or ratings that they disagree with or are unhappy with may be published or otherwise become associated with Materials submitted to RecognizeGood. By submitting Materials to RecognizeGood, you waive any privacy expectations that you may have with respect to the Materials.
  13. RecognizeGood may use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish, and otherwise make use of Materials in any and all media, whether now known or hereinafter created—throughout the world and for any purpose—without compensation to Contestant of any kind.
  14. All Materials submitted shall become the sole and exclusive property of RecognizeGood, and RecognizeGood shall have no obligation to preserve, return, or otherwise make available the submitted Materials.

SELECTING PRIZE WINNERS:

One Grand Prize winner will be selected from a random drawing held after September 30, 2009 from all eligible entries received. The odds of winning are dependent upon the number of entries received and therefore cannot be determined in advance.

Judges from local Austin television news-stations will select one winner from the eligible Video Contest entries and the Photo Contest entries after September 30, 2009.

The winner will be notified by e-mail or phone call within ten (10) business days following the drawing date. Winners of weekly prizes will be selected in random drawings held throughout the Contest's duration from all eligible entries received. One winner per week will be selected, and winners will be notified by e-mail or phone call within ten (10) business days following the drawing date.

PRIZES

The Grand Prize winner will receive an iPrize Package valued at $5,000, the winner of the Video Contest will receive a prize or prize package valued at $1,500 and the Photo Contest winner will receive a prize valued at $500. RecognizeGood reserves the right to require the winner to execute an affidavit of eligibility as a sworn document and provide other proof of eligibility as a condition of receipt of the prize or award.

PRIZE SUBSTITUTION

If the specified prize becomes unavailable for any reason, RecognizeGood in its sole and absolute discretion may substitute a prize of like or equal value.

PRIZE TO BE ACCEPTED AS AWARDED

The prize must be accepted as awarded. The prize is not redeemable for cash and no substitute for any portion of any prize is offered. Should the prize winner be unable to accept the prize as awarded, it will be forfeited and retained by RecognizeGood.

EXPENSES AND TAXES

Prizewinners are responsible for all incidental expenses incurred in connection with accepting the prize and shall not seek reimbursement from RecognizeGood or any advertising or promotional agency associated with the Contest. Any tax obligations incurred as a result of any prize awarded will be the sole responsibility of the Contestant and appropriate tax identification information may be required prior to the awarding of any prize.

RELEASES

By participating in the Contest, Contestants agree that RecognizeGood and those involved in the development, production (including prize suppliers), implementation and distribution of this promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third-party claims, arising from or relating to, in whole or in part, this Contest, including entry and participation in this Contest and acceptance, possession, use or misuse of the prizes. All Contestants further agree that in the event of any third-party claims, damages, losses or injuries, arising from or relating to this Contest, they will indemnify RecognizeGood from any and all such claims, including the attorneys' fees related thereto. RecognizeGood shall not be responsible for any technical malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to Contestants or any other person's computer related to or resulting from downloading as part of this Contest.

Neither RecognizeGood nor its officers, directors, employees, agents, successors, or assigns shall be liable for any warranty, costs, damage, injury, or any other claims incurred as a result of the usage of a prize by any winner.

Contestant agrees to hold RecognizeGood and its officers, directors, employees, agents, successors, and assigns harmless from and against—and hereby waive any right to pursue—any claims of any nature arising in connection with RecognizeGood's use of the materials submitted to RecognizeGood and used in any manner in RecognizeGood's sole and absolute discretion.

All Contestants agree to respect the entry process and operation of the Contest as outlined in these rules and regulations. Any person attempting to defraud or in any way tamper with this Contest will be ineligible for prizes and may be prosecuted to the full extent of the law. This Contest shall be governed by Texas law. By participating in this Contest, Contestants agree that Texas courts shall have jurisdiction over any dispute or litigation arising from or relating to this Contest and that venue shall be only in Travis County, Texas. The parties hereby expressly waive trial by jury in any action, proceeding or counterclaim brought by either of the parties against the other on any matters whatsoever arising out of or in any way connected with these terms and conditions and agree to submit to binding arbitration.
